Terms of Service-R3 Marketing Systems

1. Definitions

"Company," "We," "Us," "Our" refers to R3 Marketing Systems ("R3 Marketing Systems"), a sole proprietorship operating under the laws of the State of Rhode Island.

"Client," "You," "Your" refers to the business or individual entering into an agreement with R3 Marketing Systems for services.

"Services" means AI voice agents, AI-powered customer communication automation, marketing automation, appointment scheduling systems, and related digital marketing services provided by R3 Marketing Systems.

"AI System" refers to any artificial intelligence-powered voice agent, chatbot, or automated communication tool configured and deployed on Client's behalf.

"Platform" refers to the third-party software infrastructure (including but not limited to GoHighLevel) used to deliver the Services.

"End Customer" refers to any individual who interacts with Client's AI System (e.g., a customer of Client's collision repair shop).

2. Services Provided

R3 Marketing Systems provides AI-powered voice agents and marketing automation services designed to help local businesses — including but not limited to independent collision repair, auto body, and fleet service shops — capture leads, reduce missed calls, automate follow-up communication, and manage customer scheduling.

AI-Specific Limitations: Client acknowledges that AI Systems, while trained to handle common scenarios, may not perfectly replicate human judgment in all situations. R3 Marketing Systems will work with Client during onboarding and training phases to configure the AI System, but cannot guarantee error-free performance in every interaction. Client is responsible for reviewing AI System outputs periodically and reporting issues promptly.

3. Payment Terms

Services are billed on a [monthly recurring / setup fee + monthly / project basis] as outlined in the applicable service agreement or invoice.

Setup fees, if applicable, are due prior to commencement of AI System configuration.

Monthly fees are billed in advance on a recurring basis via Stripe.

Late payments may result in suspension of Services until account is brought current.

All fees are exclusive of applicable taxes unless stated otherwise.

4. Client Responsibilities for AI Training Data

Client agrees to provide accurate, complete, and timely business information (including but not limited to services offered, pricing, hours, and scripts) necessary for R3 Marketing Systems to configure the AI System. R3 Marketing Systems is not liable for inaccurate AI System outputs resulting from inaccurate, incomplete, or outdated information supplied by Client.

5. Intellectual Property

R3 Marketing Systems retains ownership of its underlying AI configuration methodology, prompt frameworks, and proprietary systems.

Client retains ownership of its own business data, branding, and content provided to R3 Marketing Systems.

Upon termination, Client-specific configurations may be provided to Client in a reasonable format at R3 Marketing Systems' discretion, unless otherwise agreed in writing.

6. Data Privacy and Security

R3 Marketing Systems will handle Client and End Customer data in accordance with our Privacy Policy, available at [r3marketingsystems.com/privacy-policy]. Client is responsible for ensuring it has obtained necessary consent from End Customers for AI System interactions, including SMS/call communications, in compliance with applicable law (see Section 12).

7. Limitation of Liability

To the maximum extent permitted by law, R3 Marketing Systems' total liability for any claim arising from the Services shall not exceed the total fees paid by Client in the [three (3) months] preceding the claim. R3 Marketing Systems is not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, arising from AI System performance, downtime, or third-party platform issues.

8. Termination

Either party may terminate services with [30] days' written notice.

R3 Marketing Systems may suspend or terminate Services immediately for non-payment or violation of these Terms.

Upon termination, Client remains responsible for fees incurred prior to the termination date.

9. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within [30] days, disputes shall be resolved through binding arbitration in Rhode Island, rather than in court, except where prohibited by law.

10. Service Level & Uptime

R3 Marketing Systems relies on third-party platforms (including GoHighLevel and associated AI/telephony providers) to deliver Services. While we strive for high reliability, we do not guarantee uninterrupted uptime and are not liable for outages caused by third-party platform issues outside our reasonable control.

11. Third-Party Integrations

Services may involve integration with third-party platforms including GoHighLevel, telephony providers, and AI language model providers. Client acknowledges these platforms have their own terms of service, and R3 Marketing Systems is not responsible for changes, outages, or policy changes made by these third parties.

12. Compliance with Communication Regulations

Client and R3 Marketing Systems will work together to ensure AI System communications (calls, SMS) comply with applicable regulations including the Telephone Consumer Protection Act (TCPA) and A2P 10DLC messaging requirements. Client represents that it has obtained, or will obtain, proper consent from End Customers prior to AI System-initiated outreach where required by law.

13. Refund Policy

14. Indemnification

Client agrees to indemnify and hold harmless R3 Marketing Systems from any claims, damages, or liabilities arising from Client's misuse of the Services, provision of inaccurate information, or failure to obtain necessary End Customer consent for communications.
